Atlas Cloud Terms of Service
Effective date: October 26, 2026
Version: 1.3
1. Parties and acceptance
These Terms are between Gradeum Technologies LLC ("Gradeum", "we", "us") and the firm or other entity that creates an Atlas Cloud account ("Customer", "you"). By creating an account, signing in, paying for credit, or using Atlas Cloud, you accept these Terms for the Customer. If you accept for a firm, you confirm you have authority to bind it. If you do not accept, do not use Atlas Cloud. Atlas Cloud is for business use only, and each user must be at least 18 years old.
2. The service
Atlas Cloud is the hosted line of Atlas, an AI engineering agent. You give Atlas a task, the data to work from, and a method (expedite or batch). You can do this by chat or by email to the Atlas mailbox. Atlas works in the modes we make available from time to time, which today are described as Basic, QC, Draftsman and Project. Atlas produces new files. It does not overwrite your existing files.
Some features are in development and may not be available when you first sign up. Features described as planned, including 3D drafting, document sign-off, voice and a second payment route, are not promised. We may change, add or remove features under section 14. Only the features available in the service on the effective date are part of the service at that date; nothing else is promised.
3. Accounts and firm administrators
- You sign in with a Microsoft work account. Each account is tied to your Microsoft tenant and user identity.
- There is one account per firm. The administrator is the person who pays. The administrator invites users, connects the Atlas mailbox, and assigns credit from the shared balance.
- Each user has private memory that no administrator can see. Firm and organisation memory is nested above it; administrators can see down that structure, never up.
- When a user leaves, we keep that user's memory for 30 days. The user may ask for it to be transferred, for the fee shown on the price page. After 30 days it is deleted.
- You must keep your sign-in secure and are responsible for activity under your account. Tell us promptly of any unauthorised use.
- The administrator confirms that the firm is entitled to connect the folders and mailboxes it connects, and to grant Atlas the Microsoft permissions that connection needs.
4. Acceptable use
You will not:
- break the law, or use Atlas Cloud to infringe or misuse anyone's rights;
- upload data you have no right to use, or data you are legally barred from sharing with a processor;
- attempt to probe, disrupt, overload or bypass the security, limits or metering of the service;
- reverse engineer the service, or use its outputs to build a competing product;
- resell or share access outside your firm without our written agreement;
- use Atlas Cloud for any use where an error could cause immediate physical harm without qualified human review.
We may investigate suspected breaches and act under section 8.
5. Customer content and ownership
- Customer Content means the files, data, prompts, emails and instructions you provide, and the outputs Atlas produces for you from them.
- You own your Customer Content. We claim no ownership of it.
- We use Customer Content only to provide the service to you, including keeping it secure and supporting you. We do not use your Customer Content to train our own models.
- Each firm has an Atlas folder, held for you in Gradeum's Microsoft 365 (SharePoint) and shared with your firm's users. You can open it from the link we send or add it to your own OneDrive as a shortcut. Atlas reads and writes files in that folder. Atlas also holds a private storage area for each account. When the folder is over its size limit, the oldest inactive files are moved from the folder to that private storage; they stay available to Atlas and to you on request.
- To perform a task, Atlas sends task prompts and the work content you attach to AI models reached through Gradeum's Microsoft Azure AI Foundry router, which uses models from American makers, and to the other processors we use. The Privacy Policy lists them and how long data is kept. Some providers hold batch results for up to 29 days.
- Documents and messages a customer attaches to a task are sent to the AI models in Gradeum's Azure AI Foundry to perform the task.
- You give us a limited licence to host, process and transmit Customer Content for these purposes.
- We keep a log of engineer decisions made in Atlas. It is kept while your account is active and deleted with your other Customer Content under section 8; the administrator may ask us for an export of it at any time before then.
6. AI output and professional responsibility
ATLAS IS AN AI - IT CAN MAKE MISTAKES.
- Atlas Cloud is a draft-support tool. It does not replace a qualified professional.
- Engineering outputs are marked "DRAFT - PE Review Required". Other outputs may be marked "DRAFT - FOR REVIEW". These marks mean the output must be reviewed before use.
- A qualified professional must review, verify and approve every output before it is relied on, issued, built from, filed or stamped.
- You remain solely responsible for your engineering, design and business decisions, for any stamp or seal applied, and for compliance with the rules of your profession and jurisdiction.
- Outputs may be similar to those given to other customers. We do not promise they are unique, complete, accurate or fit for a particular purpose.
- Gradeum does not practise engineering for you and does not sign, seal or certify any output.
7. Prepaid credit, pricing and payment
- Atlas Cloud runs on prepaid credit only. There is no billing in arrears.
- Credit sits in one shared balance for the firm, assigned to users by the administrator. The meter shows the credit used per task. Every model call, chat turns included, counts as use and is charged to the firm's credit. There is no per-seat charge.
- The opening purchase is 100 US dollars of credit. Reloads are any whole-dollar amount from $5 to $10,000. Each task is charged in credit at our posted rates, which follow the cost of the models the task uses; the meter shows the credit each task used.
- Payments are taken by Stripe. We receive your billing contact and charge records. We do not hold your card details. Stripe's terms apply to the payment.
- Taxes: prices exclude sales, use, value-added and similar taxes. You pay any such taxes that apply, other than taxes on our income.
- Credit expiry: credit does not expire while your account is open.
- Credit is prepaid and is not refunded. A task that fails is still charged for the work that ran, and there is no credit back. Every chat reply and every task, including one that is stopped, is charged against credit for the work that ran.
- Reloads and auto top-up: you reload by buying a reload of any whole-dollar amount from $5 to $10,000. There is no automatic top-up.
8. Suspension and termination
- You may stop using Atlas Cloud at any time. The administrator closes the account by notice in the app or by email to the contact below. On closure, no refund is made. Credit is prepaid and is not refunded.
- We may suspend or end access if you breach these Terms, if payment is reversed or disputed, if use creates a security or legal risk, or if the law requires it. Where it is reasonable, we will give notice first.
- On ending, your right to use the service stops. Download anything you want to keep from your Atlas folder before you close the account. We will delete or return the Customer Content we hold, including your Atlas folder and private storage, within 30 days of account closure, and it is removed from our backups within 35 days of closure, subject to the retention rules in the Privacy Policy and legal duties.
- Sections that by their nature should survive, including 5, 6, 9 to 13 and 15, survive ending.
9. Confidentiality
Each side will keep the other's non-public information confidential and use it only for the service, with the usual exceptions for information that is public, already known, independently developed, or that the law requires to be disclosed. Customer Content is your confidential information. This section lasts three years after the Terms end, and for trade secrets and Customer Content for as long as they remain confidential.
10. Warranties disclaimer
Gradeum gives no service standard or service-level commitment beyond what these Terms state. To the fullest extent the law allows, Atlas Cloud and its outputs are provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the service will be uninterrupted, error-free, or free of harmful components, or that a given region, data location or certification applies unless we state it in writing. We make no availability commitment.
11. Limitation of liability
To the fullest extent the law allows:
- we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profit, revenue, data or goodwill;
- we are not liable for losses from your reliance on an output that a qualified professional has not reviewed;
- our total liability for all claims in connection with these Terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
Nothing here limits liability that cannot be limited by law, or either side's liability for fraud, gross negligence or wilful misconduct, or for death or personal injury caused by its negligence.
12. Indemnity
You will defend and indemnify Gradeum against third-party claims, and resulting losses and reasonable costs, arising from: your Customer Content or its lawful use; your breach of these Terms; or your use of an output without the professional review required by section 6. We will tell you promptly of a claim and give reasonable help at your cost. You may control the defence, but you may not settle a claim that admits fault for us without our consent. Gradeum gives no indemnity to the Customer.
13. Third-party services
Atlas Cloud depends on third-party services, including Microsoft, our hosting and AI model providers, and Stripe, as listed in the Privacy Policy. Their terms apply to your use of them, including Microsoft's terms for your tenant. We are not responsible for their failures beyond what the law requires. Microsoft may show an unverified-publisher notice when your administrator first approves the Atlas Cloud app.
14. Changes
We may update these Terms or the service. For a material change we will give 30 days' notice by email to the administrator or in the app. If you keep using Atlas Cloud after the change takes effect, you accept it. If you do not accept, you may stop and close the account under section 8. A price change applies only to tasks run after it takes effect; credit already bought keeps its dollar value.
15. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Disputes will be heard in the state and federal courts located in Texas. Each side brings claims only in its own name, not as a member of a class or representative action, and either side may bring a qualifying claim in small-claims court.
16. General
These Terms, with the Privacy Policy and the price page, are the whole agreement for Atlas Cloud. If a part is unenforceable, the rest stays in force. A failure to enforce is not a waiver. You may not assign these Terms without our consent. We may assign them in a merger or sale of the business. Notices to us go to the contact below. Notices to you go to the administrator's email. Neither side is liable for delay or failure caused by events beyond its reasonable control, other than a failure to pay. You will comply with US export-control and sanctions laws in using Atlas Cloud. Atlas Cloud is commercial computer software, provided to government users only under these Terms.
